These Terms of Sale (“Terms”) govern your purchase of products from Kimera Chems LLC (“Kimera,” “we,” “us,” or “our”) through kimerachems.co (the “Site”). By registering for an account, placing an order, or purchasing any product, you agree to these Terms and to our Intended-Use Attestation and Privacy Policy, which are incorporated by reference. If you do not agree, do not register or place an order.
1. Research Use Only
All products sold by Kimera are reference materials supplied strictly for research use only and are labeled “For Research Use Only — Not for human or veterinary use.” Products are not drugs, dietary supplements, foods, cosmetics, or medical devices; are not approved by the U.S. Food and Drug Administration or any other authority for human or veterinary use; and have not been tested for safety or efficacy in humans or animals. You agree to the representations in our Intended-Use Attestation as a condition of every purchase.
2. Eligibility and Accounts
You must be at least 21 years of age (or the age of majority in your jurisdiction, whichever is greater) and must register for an account to purchase from Kimera. Accounts are subject to review and approval before any order may be placed, and we may decline, suspend, or terminate any account or order at our discretion. You are responsible for the accuracy of your account information and for maintaining the confidentiality of your login credentials.
3. Products and Specifications
Product descriptions, structures, and specifications are provided for informational purposes. Product identity and purity are supported by third-party certificate-of-analysis (COA) verification, and the applicable COA governs the specifications of a given lot. Current COAs are published in our COA archive. Except as stated in the applicable COA, products are supplied without any representation as to their suitability for any particular application. We may correct errors, update descriptions, or discontinue products at any time.
4. Orders and Acceptance
Your order is an offer to purchase. All orders are subject to acceptance by Kimera. Order acceptance occurs only when the order is shipped and scanned by the carrier; clearing account review and payment authorization does not by itself constitute acceptance. We may refuse or cancel any order, in whole or in part, including where a product is unavailable, where pricing or description errors occur, or where an order presents compliance or verification concerns.
5. Pricing and Payment
Prices are stated on the Site in U.S. Dollars and are subject to change without notice. You are responsible for all applicable taxes and fees. Payment is due at the time of order through the payment methods we accept, and you authorize us and our payment processors to charge your selected payment method for the total order amount. If a payment is declined or reversed, we may cancel the order and suspend the account.
6. Shipping, Title, and Risk of Loss
Kimera ships within the United States only, unless expressly agreed otherwise in writing. We ship using the methods and carriers described at checkout. Estimated delivery times are not guaranteed, and we are not liable for carrier delays. Title and risk of loss pass to you upon our delivery of the products to the carrier. You are responsible for providing an accurate shipping address. Shipping methods, delivery timelines, insurance, signature requirements, and shipping claims are governed by our Shipping, Refunds and Returns Policy, which is incorporated by reference.
7. Restricted Destinations and Compliance
Certain products may not be available for sale or shipment to all states or localities. You are responsible for ensuring that your purchase, possession, and use of the products are lawful in your jurisdiction. You agree not to export, re-export, resell, or divert any product in violation of applicable law, including U.S. export controls and sanctions, and not to transfer any product for human or veterinary use.
8. Handling, Storage, and Safety
Products are intended to be handled only by qualified persons trained in the safe handling of research chemicals. You assume full responsibility for the safe receipt, handling, storage, use, and disposal of the products in accordance with all applicable safety data, laws, and standards. You will not use any product for any purpose inconsistent with its research-use-only designation.
9. Returns, Cancellations, and Refunds
Because of the nature of the products, we generally do not accept returns of opened, used, or unsealed products. Unopened and untampered products may be returned only where the return is initiated within 7 calendar days of delivery and authorized by us in advance. Authorized returns are issued as store credit only, subject to a 15% restocking fee deducted from the credit amount; returns are not refunded to the original payment method; original shipping charges are non-refundable; and return shipping is at your cost. If your order arrives damaged, defective, or incorrect, contact us within 7 days of delivery and we will work with you to resolve the issue, which may include replacement or refund at our discretion. Returns, cancellations, refunds, shipping claims, and independent laboratory verification of identity and purity are governed in full by our Shipping, Refunds and Returns Policy, which is incorporated by reference. We may decline returns or refunds that do not meet these conditions.
10. Warranties and Disclaimers
Except for the specifications stated in the applicable COA, the products and the Site are provided “as is” and “as available,” and to the fullest extent permitted by law we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the products are suitable for any use other than lawful research, and we make no warranty of any kind regarding any human or veterinary application, which is prohibited.
11. Limitation of Liability
To the fullest extent permitted by law, Kimera will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your purchase or use of the products or the Site. Our total liability for any claim arising out of or related to these Terms or any product will not exceed the amount you paid for the product giving rise to the claim. You assume all risk arising from any use of the products inconsistent with their research-use-only designation.
12. Indemnification
You agree to indemnify, defend, and hold harmless Kimera and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms or the Intended-Use Attestation, your misuse of any product, or your violation of any law or the rights of any third party.
13. Intellectual Property
All content on the Site, including text, graphics, logos, and product information, is owned by or licensed to Kimera and is protected by applicable intellectual property laws. You may not copy, reproduce, or use any Site content without our prior written permission.
14. Suspension and Termination
We may suspend or terminate your account or refuse service at any time, with or without notice, including for violation of these Terms, the Intended-Use Attestation, or applicable law, or where we identify compliance or verification concerns.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or your purchase will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Georgia, and you consent to personal jurisdiction and venue in those courts.
Class Action Waiver. Any claim arising out of or related to these Terms or your purchase must be brought in your individual capacity, and not as a plaintiff, claimant, or class member in any purported class, collective, consolidated, or representative proceeding. You and Kimera each waive any right to participate in or recover through a class, collective, or representative action, and each waive any right to serve as a class representative or in any representative capacity. No court may consolidate the claims of more than one person without the written consent of both parties.
If the Class Action Waiver above is held unenforceable in whole or in part, that holding will not affect the validity or enforceability of the remainder of this Section, including the governing law, jurisdiction, and venue provisions, which will continue in full force.
16. Changes to These Terms
We may update these Terms from time to time. Changes are effective when posted to the Site, and your continued use of the Site or placement of an order after changes are posted constitutes acceptance of the updated Terms.
